Overview

This website is operated by Pass With Jack, LLC, doing business as Tutor with Jack ("Tutor with Jack," "we," "us," or "our"). Throughout this site, "we," "us," and "our" refer to Pass With Jack, LLC. We offer this website and the tutoring services described on it (the "Services") to you, the user, conditioned on your acceptance of these Terms of Service ("Terms").

By booking a session, making a payment, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

We may update these Terms from time to time as described in the "Changes to These Terms" section below. Revised Terms apply prospectively and will not alter a session or package you've already purchased under different terms.

Eligibility

By using the Services, you represent that you are at least the age of majority in your state or province of residence, or that you have parental or guardian consent to use the Services.

Tutoring Services

We provide 1-on-1 tutoring for the CPA Exam (FAR, AUD, ISC, and REG). Sessions are educational in nature and designed to support CPA Exam preparation.

Sessions are booked in 90-minute increments through our online calendar, or for Venmo or Zelle payment, arranged directly by email at jack@tutorwithjack.com.

Scheduling, Cancellations, and Session Expiry

• Scheduling: Sessions must be scheduled in advance and are subject to Jack's availability.
• Cancellations & rescheduling: A minimum of 24 hours' notice is required to cancel or reschedule a session. No-shows or late cancellations may result in forfeiture of the session.
• Session expiry: Prepaid sessions, including sessions purchased as part of a 5-session package, must be used within 3 months of purchase unless otherwise agreed.

Code of Conduct

Students are expected to engage respectfully during sessions. We reserve the right to end a session early due to inappropriate behavior.

No Guarantee of Results

Tutoring is intended to support your understanding of exam content and your CPA Exam preparation. It does not guarantee that you will pass any section of the exam, achieve a particular score, or meet any specific outcome. Your results depend on your own effort, prior knowledge, and independent study.

Educational Disclaimer

All content provided through tutoring is for educational and CPA Exam preparation purposes only. It is not a substitute for official AICPA or state board guidance, and it is not professional, legal, or financial advice. You agree not to rely solely on this content when making professional decisions.

Recording Policy

Recording of a tutoring session is at the discretion of Jack and the student. We do not manage or control recordings. If a session is to be recorded, all parties must consent before the session begins and agree on how long the recording will be kept.

Payment and Refunds

Card payments are processed securely through Stripe at the time of booking. A discounted rate is available for payment via Venmo or Zelle, arranged directly with Jack.

Except where expressly stated otherwise or required by applicable law, all purchases are final and non-refundable. Failing to use a purchased session, a change in your exam plans, or dissatisfaction with your exam results does not create a right to a refund.

Nothing in this policy limits any refund, cancellation, or consumer right that cannot legally be waived.

Intellectual Property

All materials, examples, and content provided through tutoring, whether via Tutor with Jack or Pass With Jack, are the intellectual property of Pass With Jack, LLC. You may not reproduce, resell, or share this content without our written permission.

Prohibited Uses

You agree not to use the Services for any illegal or unauthorized purpose, to violate any applicable laws, to attempt to obtain another user's account or security information, or to transmit any virus, worm, or code of a destructive nature. A violation of these Terms may result in immediate termination of your access to the Services.

Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

Limitation of Liability

To the fullest extent permitted by law, Pass With Jack, LLC, Tutor with Jack, and Jack will not be liable for any indirect, incidental, punitive, special, or consequential damages, including lost profits or lost data, arising from your use of the Services, including exam outcomes, scheduling conflicts, or technical issues with third-party platforms (such as Calendly or Stripe), even if advised of the possibility of such damages.

Because some states do not allow the exclusion or limitation of certain damages, our liability will be limited to the maximum extent permitted by law in those states.

Indemnification

You agree to indemnify and hold harmless Pass With Jack, LLC and its officers, agents, contractors, and employees from any claim or demand, including reasonable attorneys' fees, arising out of your breach of these Terms or your violation of any law or the rights of a third party.

Third-Party Services

Booking and payment are handled through Calendly and Stripe, tutoring sessions may be conducted over Google Meet or a similar platform, and this site's content may also appear on or link to our Thinkific-hosted site. We do not control these third-party services and are not responsible for their availability, accuracy, or practices. Your use of them is also subject to their own terms.

Severability

If any provision of these Terms is found unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remaining provisions will remain in full effect.

Governing Law

These Terms are governed by the laws of the State of New Mexico and applicable federal law, without regard to conflict-of-law principles. Nothing in these Terms deprives a consumer of any mandatory protection provided by the laws of their own state or country of residence that cannot legally be waived.

Changes to These Terms

We may update these Terms from time to time. Revised Terms apply prospectively from their posted effective date and will not alter a purchase you've already made under different terms, except where required by law.
